如果你是一位有女儿的爸爸或妈妈,你一定明白这种心情。从女儿还小的时候,我们努力赚钱、省吃俭用,把她慢慢养大,只希望她平安快乐,将来遇到一个负责任、值得托付的人。没有父母会随随便便把女儿嫁出去。出嫁以前,总会替她看清对方、分析风险、安排好一切。因为女儿嫁得不好,最心痛的,始终是父母。

房子,也是你一手“养大”的女儿

一间房子不是从天上掉下来的。

这些年来,你供贷款、付利息、花钱装修、维修和打理。认真算起来,你投入的不只是金钱,还有时间、回忆和多年的心血。

所以,当你决定卖掉房子时,就像准备把自己养大的女儿嫁出去一样,不能只是找到买家、签了文件、交出钥匙就算了。

你必须先了解:

  1. 买家是否有能力完成交易;
  2. 买卖价款会怎样支付;
  3. 房屋贷款是否需要赎回;
  4. 地契有没有抵押、限制或其他问题;
  5. 买卖合约是否真正保护你的权益;
  6. 如果买家迟付款或不能完成交易,应该怎样处理。

这时候,卖方律师就像一位有经验的“军师”,在房子正式“出嫁”以前,替你看文件、守住钱、盯紧时间,也尽量减少交易中可能出现的风险。

第一:先检查房子的“身份”,不要嫁到一半才发现问题

卖屋以前,律师一般会进行相关的土地或地契查询,确认房产的登记资料,并了解是否涉及抵押、私人洞穴、限制转让或其他需要处理的事项。

如果房子仍有银行贷款,律师也需要处理赎回贷款的程序,确保银行收到赎回款项后解除抵押,房产才能顺利转让给买家。

就像女儿出嫁前必须把一切安排好,房子也要先整理清楚,才不会做到一半突然出现问题。

第二:把“婚约”写清楚,不能只相信口头承诺

买卖合约(Sale and Purchase Agreement,简称SPA)就像这场“婚事”的正式约定。

成交价格是多少?订金怎样支付?什么时候完成交易?迟付款是否需要支付利息?买家不能完成交易时,订金应如何处理?卖家什么时候交出房子和钥匙?

这些事情都必须清楚写进合约。

口头上说“放心,一定没问题”,并不能代替一份妥善拟定的合约。对方一旦反悔、拖延或失去联络,真正能够保护你的,还是合约里的条款。

第三:盯紧时间,也盯紧卖屋的钱

房产交易有规定的完成期限。买方、卖方、银行、土地局和有关部门之间,往往需要互相配合。

任何一个环节出现延误,都可能影响卖方收到余款的时间,甚至引起迟延利息或其他争议。

卖方律师的工作,不只是准备文件,也包括跟进交易进度、处理贷款赎回、安排签署和登记文件,并依照合约处理收到的款项。

就像女儿出嫁,父母最担心的不是婚礼办得漂不漂亮,而是她以后有没有保障。卖房子也是一样,最重要的是交易能够安全完成,而你应该收到的钱,也能按照合约处理。

房子怎样“嫁”,由你决定

你可以为了省事,什么都不问,只希望买家、中介、银行和所有人都会自动把事情处理好。

问题1:为什么卖房子也需要自己的律师?

卖方律师代表卖方的利益,协助准备或审核买卖合约、处理地契及贷款赎回事宜、跟进交易期限,并依照合约处理卖屋款项。买方律师代表的是买方,因此卖方不应假设对方律师会替自己把关。

问题2:房子仍有银行贷款,可以出售吗?

一般上可以。卖方律师会向银行取得赎回结单,并配合买方银行或买方律师,从交易款项中偿还尚欠贷款。银行解除抵押后,房产才能按照程序转让给买方。

Selling Your Property Is Like Marrying Off a Daughter: Legal Risks in Malaysian Property Transactions | Johor Bahru Property Lawyer William Florence & Partners

If you are the parent of a daughter, you will understand this feeling.

From the time she is young, you work hard, save carefully and raise her with love. You hope only that she will live safely and happily and eventually meet someone responsible and worthy of her trust.

No parent would casually marry off a daughter. Before the marriage, you would understand the other person, consider the risks and make the necessary arrangements. If the marriage turns out badly, the parents will always feel the pain.

Your Property Is Also Something You Have “Raised” Over the Years

A property does not simply fall from the sky.

Over the years, you have paid the housing-loan instalments and interest and spent money renovating, repairing and maintaining it. When everything is taken into account, you have invested not only money but also time, memories and years of effort.

When you decide to sell the property, it is therefore similar to marrying off the daughter you have raised. You should not simply find a purchaser, sign the documents and hand over the keys without further thought.

You must first understand:

  1. Whether the purchaser has the financial ability to complete the transaction;
  2. How the purchase price will be paid;
  3. Whether the existing housing loan must be redeemed;
  4. Whether the title is subject to a charge, restriction, private caveat or other issue;
  5. Whether the Sale and Purchase Agreement properly protects your interests; and
  6. What should happen if the purchaser pays late or fails to complete the transaction.

A seller’s lawyer is like an experienced adviser who reviews the documents, protects the money, monitors the deadlines and seeks to reduce the transaction risks before the property is formally handed over.

First: Check the Property’s “Identity” Before Problems Arise Halfway Through the Transaction

Before the property is sold, the lawyer will generally conduct the relevant land or title searches to verify its registration particulars and determine whether it is subject to a charge, private caveat, restriction in interest or another matter requiring attention.

If the property remains subject to bank financing, the lawyer will also need to handle the redemption process. The bank must receive the Redemption Sum and release its security before the property can be transferred to the purchaser.

Just as the necessary arrangements should be made before a daughter’s marriage, the property’s legal position should be properly addressed before the transaction proceeds too far.

Second: Put the “Marriage Agreement” in Writing—Do Not Rely Solely on Verbal Promises

The Sale and Purchase Agreement, commonly known as the SPA, is the formal agreement governing the transaction.

It should clearly state:

a) The purchase price;
b) How the deposit will be paid;
c) The completion deadline;
d) Whether late-payment interest applies;
e) What happens to the deposit if the purchaser fails to complete;
f) When the property must be handed over; and
g) When the keys will be released.

A verbal assurance that “everything will be fine” cannot replace a properly drafted agreement.

If the other party changes their mind, delays the transaction or becomes uncontactable, the terms of the agreement will determine your legal rights.

Third: Monitor Both the Time and the Sale Proceeds

Property transactions must be completed within the applicable contractual period. The purchaser, seller, banks, Land Office and relevant authorities may all need to cooperate.

A delay at any stage may affect when the seller receives the balance purchase price and may also give rise to late-payment interest or other disputes.

A seller’s lawyer does more than prepare documents. The lawyer may also:

  1. Monitor the transaction’s progress;
  2. Handle the redemption of the existing financing;
  3. Arrange the execution and registration of documents; and
  4. Deal with the transaction monies in accordance with the agreement.

When a daughter marries, the parents’ greatest concern is not whether the wedding ceremony looks impressive, but whether she will be protected afterwards.

The same applies to a property sale. The priority is to ensure that the transaction is safely completed and that the seller receives the money due under the agreement.

You Decide How Your Property Will Be “Married Off”

You may choose not to ask questions and simply hope that the purchaser, estate agent, bank and everyone else will automatically handle everything properly.

Alternatively, before formally handing over the property, you may appoint your own lawyer to protect your interests and monitor each important stage.

Your willingness to compromise does not mean that the other party will necessarily protect your interests.

What initially appears to be a “minor issue” may eventually become:

  1. A prolonged delay in receiving the sale proceeds;
  2. An inability to complete the transfer; or
  3. A dispute requiring legal proceedings.

Once the Keys Have Been Handed Over, Some Matters May Be Difficult to Reverse

Selling a property is like marrying off a daughter.

Once the documents have been signed, the transfer completed and the keys handed over, the property will no longer belong to you. By then, many decisions cannot simply be reversed.

Appointing a lawyer does not mean that you are being overly cautious. It means that you understand the value of the property you worked for over many years and do not wish to risk it based only on the assumption that:

“There should not be any problem.”

When a daughter marries, the family will seek experienced guidance. When a property is being “married off,” someone should similarly protect your agreement, deadlines and sale proceeds.

1. Why Does a Property Seller Need an Independent Lawyer?

A seller’s lawyer represents the seller’s interests. The lawyer may assist with preparing or reviewing the Sale and Purchase Agreement, dealing with the title and bank redemption, monitoring the contractual deadlines and handling the sale proceeds in accordance with the agreement.

The purchaser’s lawyer represents the purchaser. The seller should therefore not assume that the purchaser’s lawyer will protect the seller’s interests.

2. Can a Property Be Sold if the Housing Loan Is Still Outstanding?

Generally, yes.

The seller’s lawyer will obtain a Redemption Statement from the bank and coordinate with the purchaser’s lawyer or financing bank to settle the outstanding loan from the transaction proceeds.

The bank’s security must then be discharged or reassigned before the property can be transferred to the purchaser through the appropriate process.

3. What Can the Seller Do if the Purchaser Delays Completion?

The answer depends on the Sale and Purchase Agreement, including its provisions concerning the completion period, extension period, late-payment interest and consequences of default.

The seller should not rely solely on the purchaser’s verbal promises. A lawyer should review the agreement and advise based on the actual circumstances.

4. Can a Singapore Citizen Purchase Property in Johor?

In principle, yes, subject to the foreign-property acquisition requirements, minimum purchase-price threshold, State Authority approval and other applicable conditions in force at the relevant time.

Different properties and transactions may be subject to different restrictions. Specific legal advice should be obtained before any document is signed.

5. How Are Legal Fees for a Property Transaction Calculated?

Legal fees for Malaysian property transactions are generally calculated according to the applicable solicitors’ remuneration rules and the transaction value.
