买卖产业,不只是签署一份买卖合约。

我的案件由哪一位律师负责?
您所接触的职员,不一定是最终负责案件及提供法律意见的人。
因此,委任前可以先确认:
“哪一位律师会亲自负责和监督我的交易?”
存入律师客户户口的钱,受到PIDM怎样的保障?
PIDM的保障数额最高为RM250,000保障,您可以询问:
“我的钱存入客户户口后,是否PIDM的保障数额足以保障我所存入的数目?”
若银行发生任何事故,律师楼是否有足够的客户银行来保障您所存入的数额?
如果律师事务所的客户户口被冻结,我的交易怎么办?
律师事务所是Bank Negara所控管的reporting institution ,如果某项交易涉及可疑活动,并不代表整个客户户口必然被冻结。
但是,如果银行或执法机关实际限制有关客户户口,存放在该户口的其他客户款项及交易,也可能暂时受到影响。
您可以询问:
“如果客户户口受到银行或执法限制,我的钱和交易期限怎么办?”
2025年后的RPGT,由谁负责判断和计算?
从2025年1月1日起,RPGT已经进入自评制度。
您可以询问:
“我的RPGT会如何处理?如果日后LHDN认为申报错误,谁会负责?你们律师会处理吗?”
因为LHDN不会马上处理任何申报盘查,他们会在日后开案盘查,到时如果发生事故,谁要负责?
我的产业盈利一定属于RPGT吗?
不是所有产业出售盈利,都必然只从RPGT角度处理。
您可以询问:
“我的盈利属于RPGT,还是可能涉及所得税?你了解这个法律吗?”
因为税务性质可能取决于购买目的、产业用途及整项交易背景,而不只是持有年限。您的律师了解多少?
为什么这些问题都很重要?
一宗产业交易最终必须产生实际结果。
买家需要取得应有的产权或法律权益;卖家需要完成交易并取得销售余款。
要记得,任何法律问题都不会马上出现,而是在交易进行中,甚至完成多年后才浮现。
公众不需要自己先学习所有法律答案。
但是,在把多年积蓄、产业文件及交易款项交出去之前,至少应该知道:这些问题值得先问。
如果您不知道这些问题如何适用于自己的产业交易,建议在支付不可退还的订金或签署SPA前,先取得针对性的法律意见。

Before Appointing a Property Lawyer, Have You Asked These Questions?
A property transaction involves more than signing a Sale and Purchase Agreement.
It may involve your savings accumulated over many years, bank financing, ownership of the property, the balance purchase price and tax obligations.
Before appointing a property lawyer, you should therefore consider asking the following questions instead of focusing only on the legal fees.
1. Which Lawyer Will Be Responsible for My Matter?
The staff member whom you initially contact may not necessarily be the lawyer who will ultimately handle your transaction and provide legal advice.
Before appointing the firm, you may wish to ask:
“Which lawyer will personally handle and supervise my transaction?”
2. How Does PIDM Protect Money Deposited into the Firm’s Client Account?
PIDM generally provides deposit protection of up to RM250,000, subject to its applicable terms and conditions.
You may wish to ask:
“After my money is deposited into the firm’s client account, will the available PIDM protection be sufficient to cover the amount I have deposited?”
You may also ask how the firm manages client money where the total amount maintained with a particular bank exceeds the applicable PIDM protection limit.
3. What Happens to My Transaction if the Firm’s Client Account Is Restricted?
Law firms are reporting institutions for certain transactions under Malaysia’s anti-money laundering framework.
A transaction involving suspected unlawful activity does not necessarily mean that an entire client account will automatically be frozen.
However, if a bank or enforcement authority restricts the relevant client account, money belonging to other clients and their transactions may also be temporarily affected.
You may therefore wish to ask:
“If the client account is restricted by a bank or enforcement authority, what will happen to my money and the completion deadline for my transaction?”
4. Who Will Determine and Calculate My RPGT Under the Self-Assessment System?
Malaysia’s RPGT Self-Assessment System took effect on 1 January 2025.
You may wish to ask:
“How will my RPGT be handled? If LHDN subsequently determines that the filing was incorrect, who will deal with the matter? Will your firm assist me?”
LHDN may not immediately audit every RPGT filing. A review or audit may take place later. It is therefore important to understand who will be responsible for handling any subsequent queries, supporting documents or corrections.
5. Is the Profit from My Property Sale Necessarily Subject to RPGT?
Not every profit arising from a property sale is necessarily treated only from an RPGT perspective.
You may wish to ask:
“Is my profit subject to RPGT, or could it be treated as income subject to income tax? Are you familiar with this distinction?”
The applicable tax treatment may depend on the original purpose of the purchase, the use of the property and the circumstances of the entire transaction—not merely how long the property was held.
Why Are These Questions Important?
A property transaction must ultimately produce a practical result.
The purchaser needs to obtain the intended title or legal interest in the property. The seller needs to complete the transaction and receive the balance purchase price.
Legal issues do not always arise immediately. They may emerge while the transaction is ongoing or even several years after completion.
Members of the public are not expected to know every legal answer before appointing a lawyer.
However, before entrusting your savings, property documents and transaction money to someone, you should at least know that:
These questions are worth asking.
If you are uncertain about how these issues may affect your property transaction, consider obtaining specific legal advice before paying a non-refundable deposit or signing the Sale and Purchase Agreement.
